2. Scope of Work
Only the services clearly mentioned in the approved proposal, quotation, invoice, or written confirmation are included in the project.
Any additional work requested outside the approved scope may be charged separately.
Additional work may include, but is not limited to, extra reels, extra edits, additional shoot days, new designs, urgent changes, website changes, additional strategy documents, extra reporting, paid ad management, SEO/SEM support, Google Business Profile work, packaging design, menu design, brochures, flyers, posters, business cards, rate cards, catalogues, decks, brand templates, or any other work not included in the original scope.
3. Client Responsibilities
The client is responsible for providing accurate information, brand assets, references, approvals, access, product details, business details, images, videos, passwords, account permissions, and any other material required to complete the project.
Delays in sharing inputs, approvals, payments, or access may affect delivery timelines.
Visual Habit will not be responsible for delays caused by incomplete, incorrect, delayed, or unavailable client inputs.
4. Project Timelines
Project timelines are estimated based on the scope of work, client availability, approval speed, shoot requirements, revision cycles, and payment status.
Timelines may change if there are delays in approvals, content sharing, shoot scheduling, access permissions, feedback, payment, or third-party platform issues.
Visual Habit will make reasonable efforts to deliver work within the agreed timeline, but timelines are not guaranteed unless specifically confirmed in writing.
5. Payments
Payments must be made as per the approved proposal, invoice, or payment schedule.
Work may begin only after the required advance payment or milestone payment is received.
Visual Habit may pause work if payments are delayed, incomplete, disputed, reversed, or not received as per the agreed terms.
For monthly retainers, payment must be made before the start of the billing cycle unless otherwise agreed in writing.
6. Payment Gateway
Payments may be processed through Razorpay or any other payment method approved by Visual Habit.
Payment availability may depend on the client’s country, bank, card issuer, payment method, currency, Razorpay settings, and applicable regulations.

7. Taxes and Charges
Taxes, GST, payment gateway fees, international transaction charges, bank charges, currency conversion charges, and any other applicable charges may be added or deducted as applicable.
For international clients, taxes and documentation will be handled as applicable under Indian law.
The client is responsible for any charges imposed by their bank, card issuer, payment provider, or local authority.
8. Revisions
Revision limits, if any, will be mentioned in the proposal or project confirmation.
Revisions must be related to the approved scope and original brief.
A revision does not mean a complete change in direction, new concept, new script, new design, new shoot, or new deliverable unless agreed separately.
Major changes after approval may be treated as additional work and charged separately.
9. Approvals
Once a client approves a concept, script, design, content plan, edit, caption, document, or any other deliverable, further changes may be considered additional work.
Client approval may be given through email, WhatsApp, message, call confirmation, form approval, or any other written communication.
Visual Habit is not responsible for errors, claims, or issues in work that was approved by the client before publishing, printing, sharing, or use.
10. Content Publishing
Where Visual Habit is responsible for posting or publishing content, the client must provide the required account access, permissions, approvals, captions, business information, and platform access on time.
Visual Habit is not responsible for platform errors, account restrictions, login issues, copyright claims, music restrictions, algorithm changes, reach drops, rejected uploads, disabled accounts, or technical issues caused by third-party platforms.
11. Performance and Results
Visual Habit works to improve brand presence, content quality, communication, and digital perception.
However, we do not guarantee specific results such as follower growth, enquiries, sales, ranking improvement, viral reach, ad performance, search position, clicks, leads, conversions, traffic, or revenue increase.
Visual Habit does not guarantee specific results from SEO, SEM, Meta ads, paid campaigns, Google Business Profile, search rankings, reach, clicks, leads, conversions, sales, or revenue. Performance depends on several factors including budget, offer, audience, competition, platform behaviour, website experience, market demand, product quality, customer experience, location, and consistency.
12. Intellectual Property
Unless otherwise agreed in writing, final approved deliverables created for the client may be used by the client for their business after full payment is received.
Unpaid work, rejected concepts, internal strategy notes, drafts, working files, editable source files, unused ideas, raw footage, and internal planning material remain the property of Visual Habit unless specifically included in the project scope.
Editable files, raw files, project files, templates, and source files are not included unless clearly mentioned in the proposal or agreed separately.
13. Portfolio Usage
Visual Habit may display completed work, brand names, project screenshots, campaign samples, social media posts, videos, designs, or results in its portfolio, website, social media, pitch decks, or case studies unless the client has requested confidentiality in writing before the project begins.
Confidential or sensitive information will not be shared publicly without permission.
14. Confidentiality
Both Visual Habit and the client agree to keep confidential business information private.
Confidential information may include pricing, internal documents, business plans, campaign ideas, login details, customer information, financial information, unpublished content, and private communication.
This does not apply to information that is already public, independently created, legally required to be disclosed, or approved for public use.

Advance payments are non-refundable once work begins.
Work includes strategy, research, planning, scripting, content direction, design, shoot planning, coordination, meetings, editing, revisions, and project management.

The client may also discontinue services by informing Visual Habit in writing, subject to the payment, cancellation, and refund terms already agreed.
18. Limitation of Liability
Visual Habit will not be liable for indirect losses, business losses, loss of revenue, loss of profits, loss of data, platform issues, account restrictions, customer complaints, third-party claims, or consequences arising from client-approved work.
Visual Habit’s total liability, if any, shall not exceed the amount paid by the client for the specific service that gave rise to the claim.
19. Prohibited Use
Clients may not use Visual Habit’s work for illegal, misleading, defamatory, harmful, abusive, discriminatory, fraudulent, or unauthorised purposes.
Visual Habit reserves the right to refuse work that conflicts with our standards, legal obligations, or ethical judgment.
20. Changes to These Terms
Visual Habit may update these Terms & Conditions from time to time.
